Commercial Law: A Case Study
The Business
Our client is a well known provider of industrial solutions including pallet racking and shelving.
The Challenge
After negotiating the purchase of the business partly secured with vendor finance a few years ago, our client found itself in a position where it required that the repayment terms of the loan agreement be re-negotiated. While there was e-mail evidence of a re-negotiated agreement with the vendors, without a written agreement it found itself in a position where the vendor’s had commenced proceedings in several jurisdictions.
The Outcome
Bayard Lawyers acted to defend our client from several cross-claims under loan agreements and guarantees. This protected the directors from the vendor’s commencing actions against them individually and they were able to successfully restructure the business.
