Intellectual Property: A Case Study

The Business

Our client is the worldwide owner of a patented formula used to recycle plastic, rubber, flock and waste into sustainable products across several industries.

The Challenge

The challenges involved lengthy negotiations with the supplier as there was a disconnect between our client’s position with respect to licensing the formula and the supplier’s view of what part of the technology it was licensing.

The Outcome

This resulted in Bayard Lawyers drafting a Licence & Manufacture Agreement and a Toll Extrusion Agreement with a leading manufacturer who now uses the formula to produce a number of products. A Commissioned Sales Agent Agreement was negotiated to ensure the formula is marketed globally.

We also advised our client in relation to its shareholding in the company and the most tax effective way to receive distributions.
